These Terms constitute a legally binding agreement between you ("user" or "customer") and WA Cloudx regarding your use of the WhatsApp-based software solutions provided through our platform. 2. Service Description WA Cloudx provides a cloud-based software application ("Software") designed to interface with the WhatsApp messaging platform. We are an independent software provider and are not affiliated, associated, authorized, endorsed by, or in any way officially connected with WhatsApp LLC, Meta Platforms, Inc., or any of their subsidiaries. 4. Eligibility By using this Service, you represent and warrant that: You are at least 18 years of age. You have the full power and authority to enter into this agreement. You are using the Service for legitimate business purposes and in compliance with all applicable local, state, national, and international laws. 5. Account Registration and Security To use WA Cloudx, you must register for an account. You agree to: Provide accurate, current, and complete information. Maintain the security of your password and account. Accept all risks of unauthorized access to your account. You are fully responsible for all activities that occur under your account. Subscriptions: If you purchase a subscription, it will automatically renew at the end of the billing cycle unless you cancel it through your account settings or by contacting us before the renewal date. Price Changes: We reserve the right to modify our pricing at any time. Any price changes will take effect on your next billing cycle. Taxes: You are responsible for paying all taxes associated with your purchase. 7. Acceptable Use Policy You agree not to use WA Cloudx to: Spam, harass, or send unsolicited messages (bulk messaging must comply with WhatsApp's guidelines). Infringe on the intellectual property rights of others. Distribute malware, viruses, or other harmful code. Violate WhatsApp's Terms of Service or any applicable laws regarding electronic communication. Reverse engineer, decompile, or attempt to extract the source code of our Software. IMPORTANT: You acknowledge that misuse of this tool (specifically spamming or aggressive marketing) may lead to a permanent ban of your personal or business WhatsApp account by WhatsApp. WA Cloudx is not responsible for any account bans, suspensions, or restrictions imposed by WhatsApp or Meta. 8. Intellectual Property Rights The WA Cloudx name, logo, Software, website design, and all content displayed on the site (excluding user data) are the exclusive property of WA Cloudx and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or use our intellectual property without express written consent. 9. Third-Party Services (WhatsApp) Our Service relies on the WhatsApp platform. Your use of WA Cloudx is contingent upon your compliance with WhatsApp's Terms of Service. We do not guarantee that WhatsApp will continue to allow third-party interfaces or that our Software will remain compatible with WhatsApp's systems. If WhatsApp discontinues or changes its service, WA Cloudx may cease to function, for which we hold no liability. 10. Disclaimer of Warranties THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WA CLOUDX MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE OPERATION OR AVAILABILITY OF THE SERVICE, OR THE INFORMATION, CONTENT, AND MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, WA CLOUDX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) YOUR USE OR INABILITY TO USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) THE SUSPENSION OR BAN OF YOUR WHATSAPP ACCOUNT BY META. 12. Indemnification You agree to defend, indemnify, and hold harmless WA Cloudx, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal fees, arising out of or in any way connected with your violation of these Terms or your violation of any rights of a third party (including WhatsApp). 13. Termination We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of the Terms. If your account is terminated for violation of our policies, no refunds will be issued. 14. Governing Law These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. 15. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
